Assistant General Counsel, Retirement Services P.5

The National Rural Electric Cooperative Association (NRECA) is a national non-profit trade association representing the interests of more than 900 consumer-owned cooperative electric utilities serving over 39 million people located in 47 states. As part of its network, NRECA sponsors and administers a nationwide family of large multiple employer plans for employees of cooperatives, including a Defined Benefit Plan and Defined Contribution Plan with nearly 3,000 individually designed plans. We are seeking an Assistant General Counsel with a minimum of 8-10 years of experience in employee benefits, primarily in Defined Benefit pension plans and applicable provisions of the Internal Revenue Code (Code), as well as the Employee Retirement Income Security Act (ERISA). 

This in-house counsel position offers the successful candidate reasonable hours, competitive compensation and benefits, and an opportunity to perform complex legal work in a collaborative, collegial legal department. This position will be based in Arlington, Virginia. 


Job Description

Responsibilities

  • Performing Code-related statutory and regulatory research and writing on Defined Benefit and Defined Contribution plans, including nondiscrimination testing rules
  • Interacting with the IRS (e.g. EPCRS, proposed regulations, etc.)
  • Providing general advice on the legal aspects of a variety of retirement  plans
  • Advising on ERISA-related matters, if and as necessary
  • Advising clients with regard to legal requirements, compliance measures and related responsibilities.
  • Drafting and reviewing documents including plan documents, policy manuals, Summary Plan Descriptions (SPDs), Summary of Material Modifications (SMMs), Participant Statements, Notices, etc.
  • Working with the compliance department on various technical matters, including non-discrimination testing, mergers and acquisitions, and transactional matters
  • Providing advice concerning plan administrative matters, including actuarial services, participant distributions (including taxation), record keeping, eligibility, Individual Retirement Accounts, Qualified Domestic Relations Orders (“QDROs’), claims and appeals, collections, plan loans, terminations and severance, hardship distributions, and proposals
  • Providing advice concerning federally required reporting, including Form 5500s, 990s, Form 5330, and PBGC submissions
  • Conducting/reviewing Requests for Proposal and provider and vendor management contracts for employee benefit plans


Requirements and Qualifications

Qualifications

  • JD degree required
  • State bar admission, any state
  • Minimum of 8-10 years of experience
  • Excellent legal research and writing skills
  • Defined Benefit plan experience
  • Self-starter capable of meeting all deadlines
  • Ability to provide top quality legal services
  • Superior judgment

Preferred Qualifications

  • Relevant law firm experience
  • Prior experience interacting with Internal Revenue Service (e.g. EPCRS)
  • Cash Balance conversion experience
  • Multiple employer plan experience helpful, but not required
