Senior Legal Counsel, Strategic Investor Services

Primary Purpose of the Position:

This position reports to, and is under the direct supervision of, T. Rowe Price Associates, Inc.’s Senior Legal Counsel.  The nature and scope of the position covers the provision of legal advice and guidance to T. Rowe Price’s Individual and Retirement Plan Services (IRPS) business unit related to (i) servicing of retail retirement customers through IRAs and small business retirement plans (e.g., SEPs, SIMPLEs, individual 401(k) plans), and (ii) communications and interactions with individual investors about their retirement savings, whether through retail accounts, small business (retail) retirement plans, or larger retirement plans serviced by T. Rowe Price’s recordkeeping unit. 

The position requires in-depth knowledge of legal principles under which IRAs, SEPs, SIMPLEs, 403(b) and 401(k) plans operate, as well as rules and regulations governing communications with retirement account holders, whether those accounts are held individually or through employer sponsored retirement plans, such as 401(k), 403(b), or 457 plans.  The position requires expertise in rules and regulations under the Internal Revenue Code, ERISA, and other applicable laws.    

Principal Responsibilities

The principal responsibilities of the position are as follows:

  • Provide legal advice and guidance on complex legal matters and compliance issues in connection with products, services, and operations related to retirement plans and retirement accounts serviced by T. Rowe Price’s retail unit, including questions related to divorce and inheritance. 
  • Provide legal advice and guidance on communications to, and interactions with, individual investors with retirement accounts serviced through T. Rowe Price’s retail or retirement recordkeeping businesses.
  • Draft and/or review notices and disclosures for individual investors holding retail or retirement accounts through IRPS, and other materials, to ensure compliance with applicable laws, rules, regulations, and contractual obligations, and adherence to consistent and legally sound practices and guidelines.
  • Provide legal counsel and guidance in connection with new and emerging legal, legislative, and regulatory developments affecting retirement plans and retirement accounts.
  • Advise IRPS business leaders on legal interpretations and potential risks related to retirement plans and retirement accounts in order to support strategic decision making. 
  • Apply structured, logical, thinking to analyzing issues, answering inquiries, evaluating risks, and interpreting legal principles relative to applicable laws, rules, regulations, and precedents.
  • Author articles and memoranda explaining new legal developments for IRPS business colleagues.

Qualifications:

Preferred:

  • Strong working knowledge of retirement plan and IRA service provider operations and general business requirements, as well as the mutual fund distribution business.
  • Previous experience or familiarity with trusts, estates, and domestic relations (death and divorce) laws and implications to IRAs and retirement accounts.

Required:

  • Law Degree from accredited School of Law.
  • Active member in good standing of the bar of a United States state or jurisdiction.
  • Senior attorney with 8 to 10 years of related legal experience since the date of bar admission in a financial services firm providing retirement plan and IRA services, in a  law firm or  public accounting firm, or with a regulatory agency.
  • Must have in-depth, specialized knowledge of legal rules governing retirement plans and IRAs.
  • Strong oral and written communication skills.
  • Strong interpersonal and collaborative teamwork skills.
  • Strong analytical and problem solving skills.
  • High level attention to detail.
  • Well organized.
  • Ability to manage complex workload, prioritize effectively, and meet deadlines.
  • Strong leadership and management skills.
