Managing Attorney - Employee Benefits

Purpose

Oversees company legal activities and functions related to legal support for Employee Benefits.

Scope of Duties and Responsibilities

  • Provide legal advice to senior management, internal benefits, administration team, and fiduciaries on matters including but not limited to:
    • Qualified retirement plans, including traditional pension, 401(k), and profit sharing plans
    • Executive Compensation issues, including non-qualified deferred compensation and equity compensation programs
    • Health and Welfare Plans, including fringe benefits and payroll practices
    • Fiduciary compliance, plan governance and prohibited transactions
    • Legal compliance (ERISA, IRC, SEC, NYSE, COBRA, and HIPAA, etc.)
  • Manage litigation risks and governmental (DOL, IRS, PBGC, SEC) filings and proceedings involving benefits issues by overseeing outside counsel.
  • Supervise outside counsel to ensure appropriate handling of matters assigned and monitor billings and costs.  
  • Support due diligence, negotiation, and implementation of M&A transactions.
    • Draft and amend plans, summary plan descriptions, summary of material modifications and participant communications.
    • Review and negotiate contracts with service providers.
    • Participate in annual benefit plan audit process.
  • Advise on benefit claims and appeals.
  • Train Benefits department staff and present to other company personnel as necessary.
  • Position will report to VP-Human Resources (who previously held role) , and will work closely with legal department.
  • Regular and reliable attendance is required in performance of job.
  • Employee may be required to perform additional duties as assigned

Experience

Bachelor’s degree and Juris Doctorate with current CLE compliance plus law practice experience.

  • Strong experience in legal practice including matters, at least four (4) years of experience in a law firm or in-house practice dedicated solely to matters involving benefits compliance and administration. 
  • Application of basic math formulas.
  • Experience in use and function of office equipment including computers and applicable software.
  • Experience and training related to:
    • Benefits law (ERISA, IRC, SEC, NYSE, COBRA, and HIPAA)
    • Legal compliance related to benefits related laws
    • Business communication skills
    • Ability to analyze and explain complex subjects in succinct format using plain English
  • Experience reading and interpreting contracts, statues, regulations, court cases, briefs, letters, memorandum, opinion of counsel, pending legislation, and company policies and procedures.
  • Experience researching and preparing correspondence, briefs, pleadings, interrogatories, settlement agreements, memorandums, presentations, meeting minutes, resolutions, language for legislation, contracts, litigation reports, and budgets.
  • Experience negotiating, persuading, advocating, interacting, advising, and communicating effectively.
  • Experience leading, directing, training, and/or supervising.
  • Demonstrated ability to read and write fluently in English.

Certification/Licensing

  • Juris Doctorate admitted to practice in Oklahoma, or ability to obtain license within 1 year after hire date.
  • Applicable driver's license for travel to office locations, facilities, and government offices.

Physical Requirements

  • Mobility to travel in and around office surroundings.

Communication Requirements

  • Communicate and/or exchange information or instruction.

Visual Requirements

  • Sufficient to perform job duties.
