Counsel, Senior Manager – Employee Benefits

This position is a unique opportunity for an energetic, proactive employee benefits attorney with relevant prior experience working on a variety of matters to join Discover’s award winning law department and contribute to the successes of Discover’s employee benefits initiatives.  The Counsel, Senior Manager role will be responsible for providing advice, counsel and training on all aspects of Discover’s employee benefit plans, including drafting plan documents, ensuring compliance with IRC, ERISA, HIPAA, COBRA, ACA and other applicable laws and handling complex legal matters and related projects.  This position is responsible for promoting a risk-aware culture and ensuring efficient and effective risk and compliance management practices by adhering to required standards and processes.

Duties and Responsibilities:

  • Provide advice, consulting and training on:
    • Employee benefit plans, including 401(k), Pension, Supplemental Pension, Welfare, Retiree Welfare
    • International employee benefits, including Puerto Rican 401(k), Canadian RRSP, UK Pension and welfare benefits and expanding benefits in China
    • RFPs and negotiating service agreements for plan vendors, including insurers, custodians, trustees, investment managers and administrators
    • ERISA fiduciary matters, including advising five internal ERISA fiduciaries; attending meetings and serving as secretary of same; overseeing legal matters related to external ERISA fiduciaries
    • Internal ERISA claims and appeals, document requests, powers of attorney, etc.
    • Internal and external audits of employee benefit plans
    • Internal compliance audits and risk reviews of employee benefit plans and controls
    • Employee benefit plan compliance with regulatory requirements, and correction of administrative errors
    • Supporting the HR function in drafting employee benefit plan procedures
    • Employee benefit matters in corporate transactions, debt offerings, RIFs, etc.; and
    • Employee benefit plan litigation.
  • Receive vision from leadership and translate vision into short-term strategic and operational direction and oversight.
  • Responsible for working closely with clients to understand objectives, in order to provide comprehensive, proactive and timely advice on legal and regulatory requirements applicable to employee benefit plans.
  • Identify, communicate and assess legal and regulatory requirements embodied in proposed or enacted laws, regulations, regulatory guidance, and industry best practices impacting Discover and its employee benefit plans.
  • Keep current on legislative and regulatory developments applicable to employee benefit plans in a variety of ways, including: participation in relevant industry groups, maintaining subscriptions to industry periodicals or similar publications via electronic delivery, white papers and alerts from outside counsel, and attending seminars / training.
  • Regularly advise business clients on questions of legal requirements applicable to new plans, policies, and procedures.
  • Work closely with business to identify legal risks in order to prevent and limit legal liability and mitigate risk.
  • Manage outside counsel and other experts as necessary.
  • Assist with managing resources and budget items.
  • Promote a risk-aware culture, ensure efficient and effective risk and compliance management practices by adhering to required standards and processes.
  • Other duties as assigned.

Skills / Experience Required

  • Minimum of 3 years of experience as a practicing attorney in a position of responsibility with the government or a national law firm and / or corporate law department handing both routine and complex employee benefit matters.
  • Strong working knowledge of the Internal Revenue Code and ERISA as it pertains to employee benefit plans and programs.
  • Working knowledge of U.S. labor and employment laws and benefit plan litigation.
  • Ability to work as a productive and influential member of a multidisciplinary team in a fast-paced, dynamic environment
  • Strong project management skills and an ability to prioritize multiple projects.
  • Strong oral and written analytic and communication skills with an ability to clearly and concisely articulate complex legal concepts to a lay audience.
  • Strong interpersonal skills, with an ability to inspire trust and confidence with stakeholders at all levels.

Education and License Requirements

  • Active law license
  • JD from ABA accredited law school
