Overview of Position: 

This is a position in the Employment Law Group of the Corporation Law Department.  Candidates must have a minimum of 10 years of executive compensation and employee benefits experience.  This position will provide legal counsel and services to the employee benefits function within Human Resources Total Remuneration Group, including advising on qualified pension plans, non-qualified deferred compensation, ERISA plan investments and equity compensation.   


Duties include:

  • Providing operational advice and general support to numerous departments and business units, including Retirement, Executive Compensation, Benefit Plan Investments and Mergers and Acquisitions and Litigation Support.
  • Advising on the ERISA and tax law implications of the Company’s compensatory arrangements and benefit programs.
  • Providing advice and assistance regarding benefits and compensation matters in corporate M&A transactions.
  • Educating and advising fiduciary committees that oversee the Company’s retirement and executive compensation benefit programs.
  • Designing and drafting plan documents, amendments, and other documents relating to retirement and executive compensation benefit plans.  Negotiate and draft vendor services agreements.

Key Job Responsibilities:

The essential position functions include: 

  • Provide clients with the best available legal analysis, insight, and advice on benefits issues.
  • Provide superior specialty legal services, including training, policy development, and advocacy before federal and state agencies.
  • Drive for results and timely execution with energy and commitment.
  • Work collaboratively with clients and other colleagues.


  • Juris doctor or other advanced law degree.
  • Must be admitted to practice law in some U.S. state or in the District of Columbia.
  • Must be or quickly become authorized to practice law in California.  LLM in Tax/Certificate in Employee Benefits a plus.
  • Must have at least 10 years of experience as a benefits attorney; executive compensation experience is particularly important.
  • Must have demonstrated skill and experience in providing timely and client-focused advice and counsel on benefit-related issues.
  • Must have demonstrated skill and experience in litigation risk assessment and risk avoidance/reduction strategies.
  • Must have demonstrated skill and experience in effectively communicating complex issues (oral and written).

Relocation Options:
